This Citispace User Agreement (“Agreement”) is a legally binding agreement between you (“User,” “you”) and Grey Square (Private) Limited (“Citispace,” “we,” “our,” or “us”), the operator of the Citispace platform available at citispace.co.zw (“Platform”).

This Agreement governs your access to and use of:

the Citispace website and mobile applications, and

platform services including posting, accepting, managing, and completing errands (collectively, “Citispace Services”).

By creating an account, accessing, or using Citispace Services, you confirm that:

you have read and understood this Agreement, and

you agree to be bound by it.

If you do not agree, you may not use the Platform.

Definitions

Client — User who posts errands

Runner — User who accepts and performs errands

Site Visitor — unregistered platform user

Escrow — funds held until completion or dispute outcome

Cash Expense — funds required for task-related purchases

Runner Fee — amount payable to Runner for completing an errand

User Types & Accounts

User Types

Citispace supports three user types:

Client — a person who posts errands to be completed

Runner — a person who accepts and completes errands

Site Visitor — a non-registered user who browses the Platform

Only registered users may post or perform errands.

Eligibility

By using Citispace you confirm that:

you are at least 18 years old

you are an individual (not a business entity)

you are legally able to enter a binding agreement

you will use the Platform for lawful purposes only

We may refuse, suspend, or terminate accounts for fraud, misuse, or breach of this Agreement.

Account Information

You agree to:

provide accurate and truthful account information

keep your details up to date

not create multiple accounts

not share your password or allow others to use your account

You are responsible for all activity on your account.

Purpose of Citispace

Citispace is a digital errand marketplace that:

enables Clients to post errands to be completed in Zimbabwe, and

enables Runners to accept and complete errands for payment

Citispace:

does not perform errands

does not supervise or control Runners

is not a party to agreements between Clients and Runners

All work, performance, and deliverables are solely between:

Client and Runner.

Geographic Scope

All errands must be performed within Zimbabwe

Clients may post errands from outside Zimbabwe

Runners must be able to perform tasks physically in Zimbabwe

Relationship Between Clients, Runners, and Citispace

Independent Contractor Status

Runners are independent contractors, not:

employees

partners

agents

representatives

of Citispace or Grey Square (Private) Limited.

Runners are solely responsible for:

their own taxes

licenses and compliance

transport, safety, and tools

insurance (if desired)

Citispace does not:

hire, employ, or manage Runners

provide work guarantees

control how errands are performed

Client Responsibilities

Clients are responsible for:

providing accurate task details

ensuring errands are lawful and reasonable

funding required escrow payments

reimbursing approved cash expenses where applicable

No Guarantee of Outcomes

Citispace:

does not guarantee performance of errands

does not verify the skills of Runners

is not responsible for:

delays

quality issues

incomplete errands

interactions between users

Any disputes are between Client and Runner, subject to the arbitration process in Section 13.

Fees & Payments

Platform Payment System

All payments must be made:

through the Citispace Platform

using approved mobile-money payment channels

Payments may not be made:

directly between Client and Runner

in cash

off-platform

Doing so is a material breach of this Agreement.

Escrow

Citispace:

holds funds in escrow until task completion or dispute resolution

releases funds once the Client confirms completion or after dispute/arbitration outcome

Escrow funds may include:

Runner fee

cash expense float (if applicable)

Platform Fees

Per errand:

Runner Fee Commission

Citispace charges Runners 10% of the offered runner fee

Client Cash Expense Fee (if applicable)

Citispace charges Clients 5% of any cash expense amount

Fees are deducted automatically via the Platform.

Fees are non-refundable except where required by law or arbitration outcome.

Cash Expenses

Where an errand requires a Runner to incur cash expenses:

Client must fund the expense amount into escrow

Citispace releases expense funds only after proof and confirmation

misuse or false expense claims may result in account action

No Off-Platform Contact or Payments

For safety, accountability, and fraud prevention:

Users must communicate only via the Platform

Users must not exchange:

phone numbers

emails

social media contacts

payment details

Users must not arrange:

off-platform work

off-platform payment

Violation may result in:

suspension or termination

forfeiture of escrow

refusal of future access

Disputes Between Client and Runner

Users agree to first attempt good-faith resolution via the Platform.

If unresolved, the matter will proceed under:

the Citispace arbitration process (Section 13)

Citispace may temporarily hold escrow funds during review.

Taxes & Compliance

Users are responsible for:

any income tax obligations

transaction reporting

regulatory compliance applicable to them

Citispace does not provide tax advice.

User Conduct

Users must not:

post unlawful or harmful errands

harass or abuse other users

misuse escrow or payments

submit fraudulent tasks or expense claims

attempt to bypass the Platform

interfere with platform operations

We may suspend or terminate accounts for violations.

Disclaimer of Warranties

Citispace provides the Platform:

“as is” and “as available”

without guarantees of:

service availability

uninterrupted access

safety or quality of errands

suitability of Runners or Clients

Clients and Runners use the Platform at their own risk.

Indemnity

You agree to indemnify and hold harmless:

Grey Square (Private) Limited

its directors, employees, and agents

from claims arising from:

your use of the Platform

disputes between Clients and Runners

your breach of this Agreement

unlawful errands or conduct

Dispute Resolution & Arbitration

Governing Law

This Agreement is governed by the laws of:

The Republic of Zimbabwe

Arbitration

Any dispute arising from:

errands

payments

escrow

user conduct

interpretation of this Agreement

will be resolved exclusively through binding arbitration in Zimbabwe.

Court litigation is excluded except where arbitration enforcement is required.

Each party bears its own costs unless otherwise determined by the arbitrator. You can also see our Escrow Policy for more.

Termination

We may suspend or terminate accounts where:

fraud or misuse is suspected

payments or escrow are bypassed

platform rules are violated

safety risk exists

Users may close their account at any time.

Outstanding obligations survive closure.
